In these Terms, references to "KLIQORA", "KLOUZ", "we", "us", or "our" refer to the company operating the KLOUZ service.

The official company and support details associated with KLOUZ are provided through our website and contact information.

2. Definitions

  • "Studio" means the photography business, creative business, or other organisation whose authorised user creates or operates a KLOUZ account.
  • "User" means an individual who accesses KLOUZ through their own account or through access provided by a Studio.
  • "Staff" means individuals authorised by a Studio to access its KLOUZ workspace according to the roles and permissions assigned to them.
  • "Client Data" means personal or business information about a Studio's leads and clients that the Studio or its authorised Users enter into KLOUZ.
  • "Content" means information, text, documents, images, records, or other material that a User or Studio submits to KLOUZ.

3. The service & plans

KLOUZ is studio management software designed to help photographers, videographers and their teams organise business information and day-to-day operations.

Depending on the plan and features available at the time, KLOUZ may provide tools for managing leads, clients, pipelines, payment records, team access, notifications, analytics, deadlines, and related studio information.

KLOUZ currently offers a Free plan and paid subscription plans. The features, usage limits, pricing, and availability of each plan are shown on the Pricing page.

We may introduce new plans, features, limits, or product capabilities from time to time.

Current pricing and plan information published on the KLOUZ website forms part of these Terms.

4. Eligibility & accounts

You must be legally capable of entering into a binding agreement under applicable law to create and use a KLOUZ account.

You are responsible for providing accurate and reasonably current account information.

You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your account.

If you create or manage a KLOUZ workspace on behalf of a Studio, you confirm that you have authority to do so.

Studio Owners and authorised administrators are responsible for managing access granted to their Staff and for ensuring that users with access to the workspace are appropriately authorised.

You should notify us promptly if you believe your account has been accessed without authorisation.

5. Subscription & billing

Paid KLOUZ subscriptions are billed according to the plan, price, and billing cycle selected when you subscribe.

Subscription prices and applicable taxes, if any, will be presented before a paid subscription is confirmed.

Unless otherwise stated at the time of purchase, paid subscriptions renew according to the selected billing cycle until cancelled.

You authorise KLOUZ and its applicable payment provider to process charges associated with your selected subscription.

We may change subscription pricing or plan terms in the future. Where a change materially affects an existing paid subscription, we will provide notice where required by applicable law or where reasonably appropriate.

If a payment fails or remains unpaid, we may restrict paid features, suspend the subscription, or take other reasonable steps permitted under the applicable plan terms.

6. Cancellation & refunds

You may cancel your paid KLOUZ subscription using the cancellation method made available for your account or by contacting KLOUZ support.

Cancellation generally prevents future renewal charges but does not automatically reverse charges for a billing period that has already started.

Your access to paid features after cancellation will depend on the applicable subscription and billing terms.

Refunds are handled according to the KLOUZ Refund Policy and applicable law.

Nothing in these Terms removes any cancellation or refund right that cannot lawfully be excluded.

7. Acceptable use

You agree not to use KLOUZ to:

  • Violate any applicable law, regulation, court order, or third-party right.
  • Access another Studio's account, information, or data without authorisation.

  • Upload malicious software, harmful code, or content intended to disrupt the service.
  • Abuse, overload, probe, scan, or interfere with KLOUZ infrastructure.

8. Third-party services

KLOUZ may rely on third-party services and infrastructure to provide certain parts of the product.

The specific providers used by KLOUZ may change as our infrastructure and product evolve.

Third-party services may have their own terms, privacy policies, availability limitations, and operational requirements.

Where KLOUZ depends on a third-party service, we are not responsible for failures or changes that are solely caused by that third party, although we may take reasonable steps to address issues affecting the KLOUZ service.

9. Intellectual property

KLOUZ and its software, interface, design, branding, documentation, and related materials are owned by or licensed to KLIQORA and are protected by applicable intellectual property laws.

Subject to these Terms and your applicable subscription, we grant you a limited, non-exclusive, non-transferable right to access and use KLOUZ for your internal business purposes.

These Terms do not transfer ownership of KLOUZ, KLIQORA branding, software, or other intellectual property to you.

You retain ownership of Content that you submit to KLOUZ, subject to the rights necessary for us to provide the service.

10. Your data & client data

You retain ownership of the business information, lead information, client information, and other Content that you submit to KLOUZ, subject to the rights necessary for us to operate and provide the service.

You are responsible for ensuring that you have the appropriate rights, permissions, notices, and legal basis required to collect and use personal data that you enter into KLOUZ.

Where KLOUZ processes personal data on behalf of a Studio, the applicable roles and responsibilities depend on the nature and purpose of the processing and applicable law.

Our Privacy Policy explains how KLIQORA processes personal data in connection with KLOUZ.

When an account is closed, data may be retained, deleted, anonymised, or made available for export according to our operational practices, applicable plan terms, and legal obligations.

11. Confidentiality

Each party should take reasonable steps to protect confidential information received from the other party and use it only for purposes connected with the KLOUZ relationship.

Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed, or must be disclosed under applicable law or valid legal process.

12. Availability & support

We aim to provide a reliable KLOUZ service, but we do not currently provide a formal uptime service-level agreement unless expressly stated in a separate agreement.

The service may occasionally be unavailable because of maintenance, updates, security measures, infrastructure issues, third-party dependencies, or circumstances outside our reasonable control.

We may modify, suspend, or temporarily restrict parts of the service where reasonably necessary for maintenance, security, legal compliance, or product improvements.

Support is available through the official KLOUZ support contact published by KLIQORA.

13. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless KLIQORA and its officers, employees, contractors, and service providers from third-party claims, losses, liabilities, and reasonable expenses arising from your material breach of these Terms, unlawful use of KLOUZ, or violation of a third party's rights.

This section does not apply to the extent that a claim results from our own unlawful conduct, gross negligence, or other circumstances for which liability cannot legally be excluded.

14. Limitation of liability

To the maximum extent permitted by applicable law, KLIQORA will not be liable for indirect, incidental, special, consequential, or exemplary damages arising from or relating to your use of KLOUZ, including loss of profits, business opportunities, or goodwill.

To the maximum extent permitted by applicable law, our aggregate liability arising from your use of KLOUZ will be limited to the amount you paid to KLOUZ for the service during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

15. Disclaimer of warranties

KLOUZ is provided on an "as is" and "as available" basis to the extent permitted by applicable law.

We do not guarantee that KLOUZ will always be uninterrupted, error-free, completely secure, or available at every time or location.

We do not guarantee that KLOUZ will meet every particular business requirement or that every feature will remain available indefinitely.

Nothing in these Terms excludes any warranty or consumer protection that cannot lawfully be excluded under applicable law.

16. Term & termination

These Terms remain effective while you access or use KLOUZ.

You may stop using KLOUZ or close your account subject to any applicable subscription, billing, and data-retention terms.

We may suspend or terminate access where you materially breach these Terms, fail to make required payments, misuse the service, create a security risk, or where suspension or termination is reasonably necessary to comply with applicable law.

Where reasonably possible, we will provide notice before suspension or termination. Immediate action may be taken where necessary to protect users, the service, or third parties.

Provisions that by their nature should continue after termination, including intellectual property, confidentiality, limitations of liability, indemnification, and dispute provisions, will survive termination.

17. Force majeure

Neither party will be responsible for delay or failure to perform obligations caused by circumstances outside its reasonable control, including natural disasters, war, government action, widespread internet or infrastructure failures, labour disruptions, or failures of third-party services.

This section does not excuse payment obligations that became due before the relevant event.

When we make material changes, we may provide notice through KLOUZ, email, or another reasonable communication method where appropriate.
